TERMS & CONDITIONS

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS WEBSITE OR MAKING A PURCHASE. BY ACCESSING https://ongade.com/ OR BUYING OUR PRODUCTS, YOU AGREE TO BE BOUND BY THESE TERMS & CONDITIONS (“Terms”) AND OUR Privacy Policy. IF YOU DO NOT AGREE, PLEASE DO NOT USE THE WEBSITE OR PLACE ORDERS.
You may save or print a copy of these Terms for future reference.
1. Definitions
1.1 “Contract” — an agreement between You and Us for the sale of Products, incorporating these Terms. Each confirmed Order forms a new Contract.
1.2 “ONGADE,” “We,” “Us,” “Our” — ONGADE LLC, Registered Agent Address: 5305 Limestone Road, Suite 200, Wilmington, DE 19808, USA.
1.3 “Products” — goods sold by ONGADE on the Website, including without limitation food supplements and cosmetics (for external, non-medical use).
1.4 “Website” — https://ongade.com/ (and any successor site operated by or for Us).
1.5 “You,” “Your” — the individual consumer placing an Order via the Website.
1.6 “Order” — Your request to purchase Products submitted through the Website and accepted by Us per these Terms.
2. General Provisions
2.1 These Terms govern: (a) the sale and delivery of Products to You; (b) Your use of the Website; and (c) Our processing of personal information (see Privacy Policy).
2.2 These Terms, the Privacy Policy, and any policies referenced on the Website are the entire agreement between You and ONGADE regarding Your purchase.
2.3 Governing Law & Venue. These Terms and any Contract are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Subject to Section 13 (Dispute Resolution), the exclusive venue for any permitted court action is state or federal courts located in Delaware.
2.4 Eligibility. By ordering, You confirm You are at least 18 years old and legally capable of entering into binding contracts.
2.5 Non-medical Products & FDA Notice. Our Products are not medicines. They are not intended to diagnose, treat, cure, or prevent any disease. Statements on the Website have not been evaluated by the U.S. Food and Drug Administration (FDA). Consult a healthcare professional before use, especially if pregnant, nursing, have a medical condition, or take medications.
2.6 Compliance. You are responsible for ensuring that purchase, import, and use of the Products comply with the laws of Your jurisdiction. We may refuse or cancel Orders where shipment would be illegal or impractical; any payment for such cancelled Orders will be refunded per Section 8.
3. Orders & Contract Formation
3.1 Placing Orders. Orders are placed via the Website. A Contract is formed only when We confirm Your Order (e.g., order confirmation page or email).
3.2 Right to Refuse. We may refuse or cancel any Order for any reason, including suspected fraud, pricing or stock errors, or shipping limitations. If cancelled after payment, a refund will be processed per Section 8.
3.3 Accuracy. You must provide accurate and current information (name, shipping address, email, payment data). You are responsible for any consequences of inaccuracies.
3.4 Availability. All Products are subject to availability. If an item is unavailable, We may cancel the relevant part of the Order and issue a refund for that item.
4. Products & Use
4.1 Food Supplements. Follow the recommended daily serving on the label. Do not exceed suggested use. Keep out of reach of children.
4.2 Cosmetics. For external use only. Follow label instructions. Consider a patch test if sensitive or allergy-prone.
4.3 Seals & Hygiene. For health and safety reasons, many Products are sealed. Breaking the seal may affect Your ability to return (see Section 7).
4.4 Images. Product images are illustrative. Actual packaging/design may vary.
5. Pricing, Taxes & Promotions
5.1 Prices. Prices are shown on the Website at checkout.
5.2 Sales Tax. Where required by law, applicable U.S. sales tax will be calculated and shown at checkout.
5.3 Shipping Charges. Shipping costs are not included in prices and are shown at checkout.
5.4 Errors. If We discover a pricing or availability error after You order, We will contact You. You may reconfirm at the corrected terms or receive a cancellation/refund for the affected item(s).
5.5 Promotions. Promotional offers are subject to stated terms and may be modified or withdrawn at any time.
6. Payments
6.1 Methods. We accept major credit/debit cards and other methods shown at checkout. Payment is captured at order placement.
6.2 Security. Payments are processed by authorized third-party processors. We do not store full card details.
6.3 Authorization. Orders are not accepted until payment is authorized. If authorization fails, the Order is automatically cancelled.
7. Returns & Refunds (U.S.)
7.1 Return Window (Change of Mind). Unopened items in original condition may be returned within 7 days of delivery. Opened/used items are not eligible due to health and safety reasons.
7.2 RMA Required. To initiate a return, email info@ongade.com with Your order number to obtain return authorization (RMA) and instructions. Returns without an RMA may be refused.
7.3 Return Shipping. Unless the return is due to Our error or a confirmed defect, You are responsible for return shipping costs. We recommend a tracked service and proof of postage.
7.4 Refund Timing. Refunds are issued to the original payment method within 7 business days after We receive and inspect the returned item.
7.5 Defective or Damaged Items. If Your order arrives damaged or defective, contact info@ongade.com within 7 days of delivery with photos and details. We may request the item be returned for inspection. If confirmed defective (not due to misuse), We will replace the item at no cost and reimburse reasonable return shipping (up to $200 USD).
8. Cancellations & Refunds by ONGADE
8.1 If We cancel all or part of an Order (e.g., stock unavailability, legal restriction, pricing error), We will notify You and issue a refund for the affected items and standard shipping where applicable without undue delay.
9. Shipping & Delivery
9.1 Processing. Orders are typically processed and dispatched within 1 business day after confirmation, subject to availability.
9.2 Fulfillment Origin. Orders ship from our fulfillment partner’s warehouse:

9.3 Tracking & Signature. All shipments include tracking; a signature may be required upon delivery.
9.4 Risk of Loss. Risk passes to You upon delivery to Your address or authorized recipient.
9.5 Inspection. Inspect parcels upon delivery. If visibly damaged, note it with the carrier and contact Us immediately at info@ongade.com.
9.6 Delivery Times. Any delivery dates are estimates subject to carrier performance and destination.
10. Use Instructions & Safety; Limitation of Liability
10.1 Follow Directions. Always follow label directions and usage advisories. Discontinue use and consult a professional if adverse reactions occur.
10.2 No Medical Advice. Content on the Website is for informational purposes only and is not medical advice.
10.3 Limitation. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONGADE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS/REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PRODUCTS OR WEBSITE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) AT ISSUE.
10.4 Some States Don’t Allow Limitations. Certain state laws may not allow the exclusion/limitation of certain damages; in such cases, the above limitation may not apply to You.
11. Privacy, Cookies & Marketing
11.1 Privacy. Our collection and use of personal information are described in our Privacy Policy (https://ongade.com/).
11.2 Cookies/Analytics. We use cookies and analytics to improve the Website. You can manage preferences in Your browser settings; some features may not function without cookies.
11.3 Marketing Opt-Out. You can unsubscribe from marketing emails at any time via the link in the message or by contacting info@ongade.com.
12. Intellectual Property
All content on the Website (text, graphics, logos, images, product names, and software) is owned by ONGADE or its licensors and protected by applicable IP laws. You may not copy, modify, distribute, or create derivative works without Our prior written consent.
13. Dispute Resolution; Arbitration; Class Action Waiver
13.1 Informal Resolution. Before filing a claim, You agree to first contact Us at info@ongade.com and attempt to resolve the dispute informally.
13.2 Binding Arbitration. If not resolved within 30 days, disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The seat and venue of arbitration shall be Delaware, in English. The arbitrator may award individual relief permitted by law.
13.3 Class Action Waiver. YOU AND ONGADE AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
13.4 Small Claims. Either party may bring qualifying claims in small claims court in Delaware (or Your U.S. county of residence) instead of arbitration.
13.5 Injunctive Relief. Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property or safeguard arbitration.
14. Changes to Terms
We may update these Terms from time to time. Changes take effect on the stated effective date. If You continue using the Website or purchasing Products after changes become effective, You accept the updated Terms.
